Terms and conditions

These terms apply to all contracts between kant.partners ("we") and the customer for setup and support of an AI phone assistant. We contract exclusively with entrepreneurs within the meaning of § 14 BGB, with legal persons under public law and with special funds under public law. We do not contract with consumers. The customer's own terms do not apply, even if we do not expressly object to them.

We set the assistant up for the customer's business, for example services and opening hours, call-handling rules, greeting and conversation flow, and test calls before going live. Connections to calendars or other systems are included where the platform supports them and they are agreed in the offer. The exact scope follows from the individual offer. Where ongoing support is agreed, it covers monitoring, improvements to the conversation flow, changes on request and a fixed contact person.

We owe careful configuration work, not a particular commercial outcome. We do not guarantee that a given proportion of calls will be handled without a person, because that depends on the calls the customer receives.

The platform itself is provided by fonio.ai, not by us. The customer enters into the subscription with fonio and is billed by fonio. We are an independent partner of fonio and receive a commission when a customer signs up through our partner link. Availability, functionality and data processing on the platform are fonio's responsibility. We are not liable for them.

Prices, invoicing and payment terms follow from the individual offer.

The customer provides the information we need in good time: services and prices, opening hours, call-handling rules, the phone number to be forwarded and, where applicable, access to a calendar or other system that is to be connected. Setting up call forwarding with their telephone provider is the customer's responsibility. Where we cannot continue because this cooperation is missing, agreed dates are postponed accordingly.

The term and cancellation of ongoing support follow from the individual offer. The right to terminate for good cause remains unaffected. Setup services are one-off services and end when they have been performed.

We are liable without limitation for intent and gross negligence, and for damage from injury to life, body or health. For slight negligence we are liable only where we breach an obligation that is essential to the contract and on which the customer may reasonably rely; in that case liability is limited to the damage typical for this type of contract and foreseeable at the time the contract was concluded. Liability under the Product Liability Act is unaffected. Any further liability is excluded.

Each party keeps confidential the business information it learns from the other. Where we process personal data on the customer's behalf in the course of the setup, the parties conclude a separate data processing agreement under Art. 28 GDPR.

German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the customer is a merchant, a legal person under public law or a special fund under public law, the exclusive place of jurisdiction is our registered office.

We may amend these terms for future contracts. The version in force when the contract is concluded applies. If a provision is or becomes invalid, the validity of the remaining provisions is unaffected.
